Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CompetitorRadar competitor monitoring platform, website, and related services (collectively, the "Service") provided by CompetitorRadar ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Service Description

CompetitorRadar provides automated competitor monitoring and competitive intelligence as a software-as-a-service (SaaS) platform. The Service includes:

  • Real-time monitoring of competitor websites for changes in pricing, content, features, and structure
  • Automated alerts and notifications when competitor changes are detected
  • Competitive intelligence dashboards and analytics
  • Historical change tracking and trend analysis
  • Email-based alert delivery and weekly digest reports
  • API access for integrating competitor data into your workflows (on applicable plans)

The Service monitors only publicly accessible information. We do not access private, password-protected, or restricted content on competitor websites.

2. Account Registration

To access the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to use the Service. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree NOT to:

  • Use the Service to conduct illegal scraping, crawling, or data harvesting beyond what the Service provides
  • Attempt to perform distributed denial-of-service (DDoS) attacks or overwhelm monitored websites through the Service
  • Monitor websites for purposes of harassment, stalking, defamation, or any illegal activity
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Circumvent rate limits, authentication mechanisms, or other technical restrictions
  • Resell, redistribute, or sublicense the Service or its data without our written consent
  • Use the Service to monitor websites in a manner that violates those websites' terms of service, robots.txt directives, or applicable law
  • Upload malicious code or content designed to disrupt the Service
  • Submit fraudulent payment information or engage in payment fraud
  • Use automated tools (bots, scrapers) to access the Service itself beyond the provided API

We reserve the right to suspend or terminate your account immediately if we determine, at our sole discretion, that you have violated these acceptable use terms.

4. Subscription and Billing

4.1 Pricing Plans

The Service is offered under subscription plans as described on our pricing page. Prices are listed in US Dollars and are subject to change with 30 days' prior notice to active subscribers.

4.2 Payment Processing

All payments are processed through PayPal. By subscribing, you authorize us to charge your designated PayPal account on a recurring basis until you cancel. You agree to maintain a valid PayPal payment method on file.

4.3 Auto-Renewal

Subscription plans automatically renew at the end of each billing period (monthly or annually, depending on your selection) at the then-current rate. We will charge your PayPal account on the renewal date unless you cancel before that date.

4.4 Taxes

All prices are exclusive of applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying any taxes associated with your use of the Service.

5. Cancellation and Refund Policy

  • Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Service until the end of your paid period.
  • No partial refunds: We do not provide prorated refunds for partial months or unused portions of a billing period. If you cancel mid-cycle, you retain access until the cycle ends but will not be charged again.
  • Failed payments: If a payment fails, we will attempt to charge your PayPal account up to 3 times over 7 days. If all attempts fail, your account will be suspended until payment is resolved.
  • Service errors: If the Service experiences a prolonged outage (more than 72 consecutive hours) that prevents you from accessing your monitoring data, you may request a prorated credit for the affected period by contacting support.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, algorithms, documentation, branding, and user interface, is owned by CompetitorRadar and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

6.2 Your Content

You retain all rights to the competitor lists, configurations, and custom settings you create within the Service. By using the Service, you grant us a limited license to use this information solely for the purpose of providing the monitoring and alerting Service to you.

6.3 Monitored Data

Data collected from competitor websites remains the intellectual property of its respective owners. The Service provides you with change detection and analytical insights derived from publicly available information. You are responsible for ensuring that your use of this competitive intelligence complies with applicable laws.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will detect all changes on monitored competitor websites, or that monitoring will be uninterrupted or error-free.
  • We are not liable for any business decisions made based on competitive intelligence provided by the Service.
  • We are not liable for any damages resulting from inaccurate, incomplete, or delayed monitoring data.
  • In no event shall our total liability exceed the amount you paid for the Service in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the cause of action.

8. Service Availability

We strive to maintain high availability and reliability of the Service. However:

  • The Service is provided on a best-effort basis. We do not guarantee any specific uptime percentage or service level agreement (SLA).
  • We may perform scheduled maintenance, which may temporarily interrupt the Service. We will provide advance notice of planned maintenance when possible.
  • Monitoring accuracy depends on the accessibility and structure of competitor websites, which are outside our control. Changes to competitor websites may temporarily affect monitoring until our systems adapt.
  • Third-party service outages (Supabase, Cloudflare, PayPal, Resend) may affect the availability of the Service. We are not responsible for disruptions caused by our third-party providers.

9. Indemnification

You agree to indemnify and hold harmless CompetitorRadar, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Your use of competitive intelligence obtained through the Service
  • Any claim that your monitoring activities infringe on the rights of a monitored party

10. Termination

  • By you: You may cancel your subscription or delete your account at any time through your account dashboard or by contacting support at govajota@petjota.com.
  • By us: We may suspend or terminate your account at any time if you violate these Terms, engage in abusive behavior, fail to pay, or if required by law. We will provide reasonable notice when possible.
  • Effect of termination: Upon termination, your access to the Service, monitoring data, and dashboards will be revoked. You may request an export of your data within 30 days of termination.
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in the Service, our business practices, or applicable law. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending an email notification to your registered email address at least 30 days before material changes take effect

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription.

13. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CompetitorRadar regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
